3.4. Deviate
from the limits of their competence,
authorization or delegation in making decisions
or signing documents.
3.5. Omit
regarding events/occurrences involving damage/harm
to ELPER Automotive Systems and not report them
to the top and/or the Company Ethics Commitee.
3.6. Participate,
either as a partner, service provider or
consultant, directly or indirectly through his
spouse, other companies that maintain business
relationship and/or services with ELPER Automotive Systems,
or other companies that have as partners and/or
owners, the same company that maintains
business or service with ELPER Automotive Systems.
3.7. Act
as a member of board of directors of the
entity/association or as a consultant to some
individual, company or organization that does or
seeks to do business with ELPER
Automotive Systems, except with the consent of
the company, including Entities/Associations
representing economic activities related to the
activity developed by ELPER
Automotive Systems. Do not include this
requirement applications or exercises elective
Trade Union and Professional/or clubs or
entities Sport and Recreational and of social
and philanthropic purpose.
3.8. Provide
to third parties or to relatives any
confidential information from ELPER
Automotive Systems, such as action plans,
financial forescasts or business,
investment, marketing strategies,
research, inventions, manufacturing process and
all related to industrial proprerty or use the
information to which you have access for
personal or third part benefit.
3.9. Accept,
even indirectly, through family member or third
parties, commissions, benefits, profit
participations, loan, free materials or as low
martket prices, trips or gifts from any
organization, company or individual that has or
will conduct business with ELPER Automotive Systems.
3.10. Not
observe the policies, manuals and internal
regulations of ELPER Automotive Systems in all
segments of activity, except as expressly
authorized by his superior.
3.11. Hire
relatives for filling of the offices in ELPER
Automotive Systems or to maintain business
relations with this person at the company.
3.12. Failure
to meet technical specifications or
recommendations on application or proper use of ELPER Automotive Systems
products.
3.13. Acquire,
on a large scale, in order to manufacture and
sale any product sold by ELPER Automotive Systems,
including wastes, without the prior written
consent of the respective area director.
3.14. Transact ELPER Automotive Systems'
shares in periods between the closing dates of
the financial statements and the corresponding
dates of the publication in the official
newspaper of general circulation.
3.15. Transact ELPER Automotive Systems'
shares when significant events (such as
mergers, acquisitions, equity investments,
primary market operations, bonuses or stock
splits, dividends, etc) in the period between
the company's internal decision or execution of
the decision with third parties and public
disclosure of the fact.
3.15.1 To
avoid transgression of this policy, the
employee interested in purchasing shares of ELPER Automotive Systems,
outside the period mentioned in section 3.14.,
may at its criteria consult the Finance and
Investor Relations Director to check if at that
time there is any circumstance that might not
allow the transaction.
