1. OBJECTIVE
Stablish rules and standard procedures through an Ethical Standard of Professional
Conduct, which shall guide the behavior of
senior officers and employees of ELPER Automotive Systems
in performing their duties.
2. REACH
This standard encompass all the units of ELPER
Automotive Systems at Brazil and must be
known to all employees. It also must be known to the Human Resources Managers of the
partners supplying labour, for analysis and adjustments
in the units of their responsibilities,
complying with
the principles and concepts here defined.
3. CONDUCT ETHICAL
STANDARDS
All senior officers and employees must avoid any action
or omission in situations that involve conflicts
of interests between the person's private
interests and the interests of the company when
dealing with suppliers, customers, sales
representatives, competitors, outside
business entities and any other person or
company that starts business with ELPER Automotive Systems.
All employees must
to actuate always in defense of the interests of
the company, protecting the company's trade
secret, business and confidential information.
It is fundamental
that the actitudes and behavior of each employee
reflect their personal and professional
integrity,
with no risk to the person or any financial
situation, patrimonial and institutional image
of the company.
In case of a
situation that might, eventually, cause conflict
between the interests of the employee and the
company, as well as the behavior acceptable or
not, must be evaluated carefully.
In particular, the
following behaviors are NOT acceptable:
3.1. Take
advantage of the position in Elper Automotive
Systems, including throught their relatives, for
the purpose of obtaining any benefits for
themselves or their relatives or acquaintances.
3.2. Realize
any activities of economic nature that conflict
with the ELPER Automotive
Systems, whether as a result of the identity or
similarity of the business, superposition of
overtime work, etc.
3.2.1. The
prohibition in this item includes the services
and technical
advice to any company of the same business
segment, at any time, except with the prior
written consent of the area director.
3.2.2. It
is also forbidden to have in their name or
spouse, including
as a partner, participation in commercial,
industrial or service segment macroeconomic
manufacturing of technical parts, except with
the prior written release by the area director.
3.3. Insinuate,
accept or demand gifts, presents or third part services
that stablish obligations for ELPER Automotive Systems.
3.3.1. The
prohibition also
covers hiring (paid) services for private
companies that are providing services to ELPER Automotive Systems,
where an employee is himself responsible for
this contract in the company, unless prior
written consent of the superior.
